Terms of Service

1. Agreement to these terms
These Terms of Service (“Terms”) govern your use of the services of Kovyr Technology LLC, a Utah limited liability company (“Kovyr Technology,” “Kovyr,” “we,” “us”). By purchasing, subscribing to, or using any of our services, you agree to these Terms. If you do not agree, do not use the services. Where you and Kovyr Technology sign a separate written agreement for a specific engagement, that agreement controls over these Terms for that engagement.
2. The services
We offer several distinct services:
(a) Security-posture monitoring. Scheduled, external (“passive”) monitoring of the internet-facing assets you authorize, with advisory reports summarizing what we observe. Monitoring by itself identifies and documents potential issues; it does not modify your systems.
(b) Compliance documentation. Preparation of written security documentation (such as a Written Information Security Program or HIPAA Security Risk Analysis packet) based on information you provide and on scans you authorize. Deliverables are quoted per business.
(c) Managed IT services. Ongoing monitoring, patching, backup management, security tooling, helpdesk, and related administration of the devices and accounts you enroll, under the plan you select.
(d) Hourly IT support and repair. Remote or on-site diagnosis and repair work, billed at our published hourly rates (with published minimums) or under a prepaid block.
3. Not a guarantee of security
No service we offer is a guarantee of security, a warranty against breach or compromise, a penetration test, or a formal compliance certification. Monitoring and documentation reflect information available at the time of the work and may not identify every issue. Managed and hourly services reduce risk; they cannot eliminate it. You remain responsible for your own business decisions, for maintaining protections outside the scope we manage, and for acting on findings we report.
4. Your authorization and responsibilities
You represent and warrant that you own, or are authorized to enroll, every domain, device, account, and asset you place in any of our services. For managed IT and hourly support, you authorize us to access, configure, update, and remediate the enrolled systems as reasonably necessary to perform the work, including remote access sessions. You are responsible for the accuracy of information you provide, for maintaining lawful software licenses, and for decisions about data we are asked to delete, migrate, or recover. Active security scanning beyond passive checks is performed only under separate written authorization.
5. Fees and billing
Subscriptions (monitoring and managed IT plans) are billed in advance through our payment processor (Stripe) at the price shown at checkout or in your order, and renew automatically until canceled. You may cancel at any time; access continues through the end of the paid period. One-time services (compliance assessments, audits, projects) are quoted per business and payable as invoiced or via the payment link provided. Hourly work is billed at our published rates, with on-site minimums and after-hours multipliers as published on our pricing page; prepaid blocks are non-refundable but do not expire for twelve (12) months. Fees are otherwise non-refundable except where required by law.
6. Term and termination
Either party may terminate at any time. We may suspend or terminate services for non-payment or misuse. On termination, your access ends, monitoring stops, and — for managed clients — we will cooperate reasonably in handing credentials and documentation back to you or your new provider.
7. Your data and confidentiality
You retain ownership of your data and your systems. We treat non-public information we encounter while performing services as confidential, handle personal data in accordance with our Privacy Policy, and use reasonable measures to protect it. We do not sell your data.
8. Disclaimer of warranties
The services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any service will detect or prevent all vulnerabilities, that findings are complete or error-free, or that systems we manage will be uninterrupted.
9. Limitation of liability
To the maximum extent permitted by law, Kovyr Technology LLC and its members will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a security incident, data breach, data loss, or your reliance on the services. Our total liability for any claim will not exceed the fees you paid us for the service giving rise to the claim in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Kovyr Technology LLC and its members from claims arising out of your misuse of the services, your violation of these Terms, or your instruction to monitor, access, or modify assets you were not authorized to enroll.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with a new effective date; continued use of the services constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws rules.
